VACANCIES FOR EXECUTIVE POSITIONS
An Indonesian national Group of companies, having business in Manufacturing, Oil & Gas Equipment & Services, Leisure and Infrastructure, Oil Well Drilling, Cargo Handing, Entertainment (film production), Oil Rig Contracting and Trading is looking for the following:
Position (A) GROUP HR DIRECTOR
Responsibilities:
1. Oversee Group HR initiatives ad provide strategic direction and coordinate with divisional HR teams in the various different business units, country-wide and set policies
2. Develop performance appraisal and management processes
3. Provide regular market developments in respect of total compensation packages = fixed + variables + % share of PBT for BOD and key management staff and make recommendations on Compensation and Benefits and coordinate all such remuneration policy matters with the Remuneration Committee Chairman
4. Make recommendations and implementations of performance based employee incentives such as KPI based bonus
5. Review and make recommendations to ensure consistent and appropriate HR policies being adopted by the Company and the Group. Any change in policies to be established must be cleared with the respective Remuneration Committee
6. Make recommendations to Chairman, RC and CEO for key management appointments including interview, background check, total package, etc
7. Review and make recommendations for manpower budget, planning and staffing requirements
8. Deal with external consultants on HR matters such as benchmarking of salaries and benefits
9. Assist in the succession planning program and business continuity program
10. Training and development of senior management staff
11. Group Employees Benefits insurance
12. Employee communications/relations
13. Talent development and management
Pro-Requisites:
1. Master Degree in human resource administration, occupational training and management, or in business administration
2. At least 5 (five) years experience in similar position in companies with a 3000-workforce
3. Familiar with and command of every aspect of human resources and development i.e. job classification and grading, remuneration package system, job description, training program, selection, recruitment, counseling. solving and prevailing over manpower grievances and disputes
4. Familiar with manpower regulatory and compliance requirement
5. Fluent in both Bahasa Indonesia and English
6. Highly motivated and self-reliant
7. Possess good interpersonal skill
8. Proficient in MS Word, Excel and Powerpoint
Position (B) GROUP CORPORATE LEGAL COUNSEL & COMPANY SECRETARY
Responsibilities:
1. Provide legal advice, legal documentation and support to the Group and its various business units
2. Participate in contract negotiations and manage legal affairs of the Group and its subsidiaries
3. Full spectrum of company secretarial duties, including minutes taking and coordinate Board and Shareholders Meeting
4. Handle a portfolio of local and foreign incorporated companies
5. Prepare Board and Committee resolutions for the Group and its subsidiaries
6. Draft BEI announcements and circulate for approval before release to BEI
7. Liaise with external regulators and advisors, filing of returns and related documents
8. Prepare Shareholder disclosures, BEI announcements, annual reports and circulars
9. Ensure compliance with statutory and regulatory requirements
10. Assist the Chairman and Board of Directors with aspect of their statutory duties and responsibilities
11. Ensure up-to-date maintenance or the statutory books and records for the Group and its subsidiaries
Pre-Requisites:
1. Law Degree from a recognized Indonesian university as a minimum
2. More than 6 (Six) years of POE in the legal profession and/or as in-house legal counsel
3. Minimum 3 (three) years of corporate secretarial experience in an Indonesian listed company
4. Familiar with regulatory on investment, stock exchange, environment and manpower
5. Have good knowledge of corporate governance.
6. Meticulous, proactive, highly motivated and well-disciplined
7. Excellent interpersonal skill and able to work Independently
8. Possess strong written and verbal communication skills in both Bahasa lndonesian and English
